These Terms of Use (Terms) govern your access to and use of the LiveSource software (Services) provided by WiseTech Global Limited and/or its affiliates (LiveSource, we, us, or our).
LiveSource has an array of cloud services and sites that can be monitored by users around the world at any time. The LiveSource Cloud Services Status Dashboard lists available services and their current status. This capability allows users to check for service availability before contacting technical support.
ACCEPTANCE OF TERMS
By accessing or using the Services, you agree to be bound by these Terms and represent that you have the authority to bind your company or organization to these Terms. If you do not agree to these Terms, then you must not access or use the Services. We may update these Terms from time to time by posting updated terms on this website. By continuing to use the Services you accept the modified Terms.
USER ACCOUNTS AND SECURITY
You are responsible for creating and maintaining your account securely. This includes: (a) providing accurate and complete registration information; (b) maintaining the confidentiality of account credentials; (c) promptly notifying LiveSource of any unauthorized access or security breaches ; and (d) ensuring all users comply with these Terms and applicable laws. LiveSource reserves the right to suspend or terminate accounts that violate these Terms or that LiveSource determines in its discretion pose a security risk.
YOUR DATA AND ANALYTICS
You retain ownership of all content and data submitted to the Services by you, including, for example, all plans, documents, grids, prices (Your Data). You represent and warrant that you have all necessary rights and permissions to submit Your Data to the Services and that such Your Data does not violate any third-party rights or applicable laws. LiveSource may use Your Data to generate statistics and insights using machine learning and other algorithms, provided that such use does not identify you or disclose any confidential information.
YOUR RESPONSIBILITIES AND WARRANTIES
You agree to: (a) maintain the security of your account credentials; (b) use the Services only for lawful purposes and in compliance with these Terms; (c) not attempt to gain unauthorized access to the Services or related systems; (d) not transmit any viruses, malware, or other harmful code; and (e) not interfere with the proper operation of the Services.
You represent and warrant that: (a) you have full power and authority to enter into these Terms; (b) your use of the Services will comply with all applicable laws and regulations; (c) you will not infringe any third-party rights in your use of the Services; and (d) any information provided by you in connection with the Services is and will remain complete, accurate, and current.
PROHIBITED USES
The following activities are strictly prohibited and may result in immediate suspension or termination of the Services: (a) unauthorized access or attempts to gain unauthorized access to the Services or other users' accounts; (b) use of the Services for any illegal activities or to violate the rights of others ;(c) uploading or transmitting malicious code, viruses, or other harmful content; (d) interfering with or disrupting the integrity or performance of the Services; (e) attempting to reverse engineer, decompile, or disassemble any part of the Services; (f) using the Services to send unsolicited communications or advertisements; and (g) violating any applicable laws, regulations, or third-party rights. LiveSource reserves the right to suspend or terminate access to the Services for any user engaging in prohibited activities or violating these Terms.
EXPORT RESTRICTIONS
LiveSource may be subject to export restrictions by the United States government and may be subject to import restrictions by certain foreign governments, and you agree to comply with all applicable export and import laws and regulations in your access to, use or access the product and data. You agree not to import, export or re-export, either directly or indirectly (including transmission and shipment) except in accordance with all applicable laws of the land where you reside, and you are accepting responsibility to determine what is necessary to assure such compliance. In particular, but without limitation, you agree not to export, re-export or provide the software or technical data: (i) to any embargoed or terrorist-supporting country (or to a national or resident of); (ii) to anyone on the U.S. Commerce Department’s Denied Persons, Entity, or Unverified Lists or the U.S. Treasury Department’s list of Specially Designated Nationals and Consolidated Sanctions list (collectively, “Prohibited Persons”); or (iii) to any country to which such export or re-export is restricted or prohibited, or as to which the United States government or any agency thereof requires an export license or other governmental approval at the time of export or re-export without first obtaining such license or approval; (iv) otherwise in violation of any export or import restrictions, laws or regulations of any United States or foreign agency or authority. You agree not to download, transfer, export or re-export the Services to your customers or any intermediate entity in the chain of supply if our products will be used in the design, development, production, stockpiling or use of nuclear, chemical, or biological weapons proliferation, or missile technology, without the prior permission of the United States government. In addition, you agree that you will not export any confidential information from the United States except in full compliance with all requirements of the International Traffic in Arms Regulations (ITAR), the Export Administration Act and all other applicable laws and regulations. In addition, you will avail yourself of the Government policies and Arms Control laws and regulations of the land where you reside and access the Services.
INTELLECTUAL PROPERTY
LiveSource retains all rights, title, and interest in and to the Services, including all software, technology, algorithms, and content (excluding Your Data), and all associated intellectual property rights.
CONFIDENTIALITY
Each party agrees to maintain the confidentiality of any confidential information received from the other party through the Services or in connection with these Terms, including but not limited to proprietary information, technical data, trade secrets, know-how, business plans, and product information. Neither party shall disclose such confidential information to any third party without the other party's prior written consent, to perform its obligations under the Terms, where required by law or the rules of a recognised stock exchange. These confidentiality obligations survive the termination of these Terms.
DATA PRIVACY
Use of the Services is subject to LiveSource’s Data Processing Agreement (DPA) and Privacy Policy, which are incorporated by reference. These documents may be updated by LiveSource from time to time by providing you with at least 30 days' prior written notice, including by posting updated versions online. We may disclose Your Data or personal information about you if and to the extent required by law, subpoenas or court orders.
MODIFICATIONS TO THE SERVICES
LiveSource reserves the right to modify, update, suspend, or discontinue the Services or any part of them at any time, with or without notice, to all or to individual users. LiveSource will not be liable to you or any third party for any such modification, suspension, or discontinuation.
INDEMNITY
You agree to indemnify us from and against any and all claims and damages of any kind (including attorneys’ fees) resulting from your use of the Services, from your breach of any provision of these Terms or from any actions you take.
DISCLAIMER OF WARRANTIES AND RELEASE
To the maximum extent permitted by law and except for any Non-Excludable Guarantees under the Australian Consumer Law, the Services are provided ‘as is’ and ‘as available’ without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. LiveSource does not warrant that the Services will be uninterrupted, error-free, or secure. You irrevocably and unconditionally release, discharge, and hold harmless LiveSource and its officers, directors, employees, affiliates, licensors, and agents from any and all claims, demands, actions, proceedings, losses, liabilities, damages (whether direct, indirect, incidental, special, punitive, or consequential), costs, and expenses of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with: (a) your use of the Services; (b) any dispute you have with other users of the Services or third parties; (c) any content submitted by you or other users; and (d) any breach of this Agreement by you or other users.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, LiveSource will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services. LiveSource’s total, aggregate liability to you in connection with the Services will not in any circumstance exceed 1,000 Australian dollars.
DISPUTE RESOLUTION
Any dispute arising out of or in connection with these Terms will first be referred to senior executives of both parties for resolution. If the dispute is not resolved within 30 days through good faith negotiations, then you agree that it will be resolved exclusively through arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) in accordance with the ACICA Arbitration Rules. The seat of arbitration shall be Sydney, Australia. The language of arbitration shall be English.
NOTICES
You must send all notices to LiveSource under these Terms to: company.secretary@wisetechglobal.com. LiveSource may give notices to you through your account used to access the Services or any email address you have provided.
GENERAL
These Terms are the entire agreement between you and LiveSource regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, then the remaining provisions will remain in full force and effect. No waiver of any term will be deemed a further or continuing waiver of such term or any other term. These Terms shall be governed by and interpreted in accordance with the laws of New South Wales, Australia.
